Job Description: The Interim Assistant Company Secretary will join a leading national charity's governance team on a 12-month fixed-term contract. This role involves providing high-quality governance and company secretarial support, working closely with the Company Secretary and senior stakeholders. The position offers a varied set of responsibilities within a high-performing environment, requiring strong attention to detail and communication skills. The role is hybrid, requiring two days per week in the office located in Poole, Dorset.

Key Responsibilities:

  • Support and, where necessary, deputise for the Company Secretary at Board, Committee, and Council meetings
  • Draft, review, and finalise meeting minutes and related documentation
  • Maintain statutory registers and ensure timely submissions to Companies House, the Charity Commission, and other regulatory bodies
  • Contribute to the preparation and approval process of the Annual Report and Accounts
  • Provide clear and timely governance advice to internal stakeholders
  • Assist with trustee recruitment, AGM preparation, and delivery of charity and subsidiary meetings
  • Monitor changes in relevant legislation and ensure continued compliance
  • Support the management of the organisation’s board portal (Diligent)
  • Assist with the ongoing governance review and implementation of best practice procedures

Skills Required:

  • Part- or fully qualified Company Secretary (CGI/ICSA), or Law graduate with a minimum of two years’ company secretarial experience
  • Strong understanding of corporate governance, statutory compliance, and regulatory frameworks
  • Experience working with boards, committees, and senior leadership
  • High attention to detail and strong written communication skills
  • Ability to manage competing priorities in a fast-paced environment
  • Familiarity with board portals and governance tools (Diligent preferred)
